Certificate of Good Standing

 

A certificate of good standing is a document that is generally issued to a business by the Registrar of Companies.  The purpose of the certificate of good standing is to demonstrate that the company has been in existence on a continual and unbroken basis since it was registered.  This assertion is based on the documentation that is on file with the Registrar of Companies.  

 

A certificate of good standing also serves to demonstrate that the Registrar of Companies is not currently taking action for dissolving the company as defunct or for removing the company from the registrar.  More specifically, the certificate of good standing demonstrates that the company is not subject to an administration order or in liquidation.  It also shows that there has been no manager or receiver of the company appointed.  

 

Businesses typically have to acquire a certificate of good standing in response to a lender request.  When applying for a loan for a government grant, for example, a certificate of good standing may be required.  At the same time, a certificate of good standing cannot be used to attempt to prove the financial status of the business.
