Limited Company is a company whose liability is limited by a collective investment fund. When opening this type of company, you will have stock shares which determine the share holding of each of the founders. The number of shares can be 1, 10, 100, 1000 etc. in that if the collective investment fund of your company is 1 pound the price of one share will be 1 pound, 1/10 pound, 1/100 pound, 1/1,000 pound etc. accordingly. The collective investment fund of 1 pound is usually paid to the bank within a year or simply kept on hand. If any company should file a law suit against you and you have no ownership of the company, then 1 pound would cover all your debt. It should be understood that the company director (founder) is constituted by various legal entities and the founder or director shall not use his own assets to pay debts.
At least one director and shareholder is necessary to open a company. The director shall be only one individual, however the founder may be an individual or a corporation. An individual can be the director and founder simultaneously and be a citizen of any country. The company shall be registered in England via the Internet. We receive all documents by e-mail and forward them to the client. If the client has their own printer, they can print them. If not, then we can do it for a minimum fee of 30 pounds, including forwarding fee. The time it takes to open a company is 3-5 business hours and depends on the workload of Companies House. The company becomes active immediately when all documents are received. If you live in Great Britain these documents will be sufficient to open a bank account. We will forward your documents to HSBC and you can open an account at your local branch. We are certain that this bank is the most stable in Great Britain. If you live abroad, you will need to obtain an Apostille of your documents (see Apostille section) which will be sent to you by mail.
If you do not wish to have your name on the company documents, you can use the Nominee services (see Nominee section). Nominee grants you Power-of-Attorney to manage the company, stating that the company belongs to you. However, Nominee does not open a bank account, and with Nominee you can open an account only outside of Great Britain.
The proccess of opening a company is simple. You fill out the form on our site. When we receive it, we verify its accuracy and if everything is accurate we will bill you by e-mail, and if not we will contact you by telephone or e-mail. You may make payments online by PayPal or bank transfer. When payment has been received, your company will be registered.
Some companies use automatic registration. We find this not very convenient for clients, because if you've make a mistake when filling out the form, your company will be registered with a mistake, and you will need to pay up to 100 pounds to correct it.
